Founding Reservation Terms

These terms apply to founding reservations placed via scalabs.cloud before the ScaLabs Cloud platform’s general-availability launch. Full general terms of service will replace these at launch and apply to active customers thereafter.

1. Parties

The contracting entity is determined by your billing address at the time of reservation:

  • EU billing addresses contract with Scalabs UG (haftungsbeschränkt), Germany.
  • Nepali and regional billing addresses contract with ScaLabs Cloud Pvt. Ltd., Kathmandu.
  • Other jurisdictions may choose either entity at signup.

2. What a founding reservation is

A founding reservation is a non-binding statement of intent plus a small refundable deposit, exchanged for:

  1. A reserved place in Founding Batch 1 for the selected product.
  2. A 3-year price guarantee on the founding tier you reserve, contingent on yearly renewals staying current.
  3. Advance notice of launch, refund, and saved-card authorization terms before any annual payment is charged.

3. Deposits

  • Agent Core: EUR 19 refundable founding deposit
  • Agent Pro: EUR 29 refundable founding deposit
  • Inference: refundable deposit (amount confirmed at slot offer)
  • Sandboxes: refundable deposit (amount confirmed at slot offer)
  • VPS: refundable deposit (amount confirmed at slot offer)

The deposit is refundable if:

  • ScaLabs Cloud misses the stated launch window or cancels the cohort;
  • You cancel the reservation before annual billing is authorized at launch;
  • Your reservation is declined by ScaLabs Cloud (e.g. for misuse risk).

The deposit is non-refundable only if you cancel after authorizing annual billing at launch and after the first annual charge has been processed.

4. Annual billing

Annual billing for the selected plan only begins after:

  1. The launch announcement has been sent (at least 14 days in advance);
  2. Saved-card authorization has been completed by you;
  3. Final launch terms have been published and accepted.

Plans are paid yearly. Cancellation takes effect at renewal boundaries.

5. The 3-year price guarantee

The founding monthly price (the rate equivalent for your selected tier) is guaranteed for 3 years from launch, provided yearly renewals stay current. Skipping a yearly renewal terminates the guarantee.

6. Anti-resale and abuse

These products are sold for direct use. You may not:

  • Resell, sublicense, or repackage the service to third parties without a separate reseller agreement.
  • Use included STT/OCR/TTS, inference, or sandbox quotas as a free-tier API for unrelated end users.
  • Run spam, mass unsolicited messaging, credential stuffing, or DDoS infrastructure.
  • Mine cryptocurrency.
  • Operate runaway loops that knowingly bypass quota or fair-use systems.

We reserve the right to suspend or terminate accounts that breach these clauses, with prorated refund of unused service for non-malicious breaches.

7. Compliance

You agree to comply with applicable EU / Nepali / regional law in your use of the service, including but not limited to data-protection, anti-spam, intellectual-property, and export-control regulations.

8. Liability

Liability under these reservation terms is limited to the refundable deposit amount. Full general terms of service published at launch will set out fuller warranty, indemnity, and liability provisions.

9. Changes

We may update these reservation terms before launch. Material changes will be emailed to founding reservation holders at least 14 days before they take effect.
